These Terms & Conditions (the “Terms”) govern your access to and use of the OrgMatix software-as-a-service platform (the “Service”) provided by OrgMatix, a unit of Venue Diary Inc., having its registered office at as mentioned below in this document below (referred hereinafter as: “OrgMatix,” “we,” “us,” or “our”). By accessing or using our Service, you (referred hereinafter as: “you” or “User”) agree to be bound by these Terms.

1. Acceptance of Terms

By registering for, accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy, which is incorporated herein by reference and can be accessed at https://orgmatix.com/pricing/. If you do not agree to these Terms, you must not access or use our Service.  

2. Description of Service

OrgMatix is a cloud-based software solution designed for Indian law firms to manage their cases, clients, billing, team collaboration, and overall practice efficiently in one centralized platform. Key features include centralized case management, client portals, automated billing and invoicing, secure document management, task assignment and tracking, hearing and deadline reminders, team collaboration tools, and role-based access control. The specific functionalities and features available to you will depend on your chosen subscription plan.

3. Subscription Plans and Pricing

We offer various subscription plans with different features and pricing structures, which are detailed on our pricing page. We reserve the right to modify our subscription plans and pricing at any time. Any changes to the pricing will be communicated to you in accordance with Section 12 of these Terms. We may also offer a free trial period for new users, the terms of which will be specified on our website.

4. Account Registration and Access

To access and use the Service, you must register for an account through our website or via our form or our software application. You are responsible for providing accurate and complete information during the registration process and for maintaining the confidentiality of your account credentials. You may have different user roles within your account, with varying levels of access and permissions, as determined by your subscription plan and administrator settings. You are responsible for all activities that occur under your account.

We are committed to protecting your data and privacy. Our practices regarding the collection, use, and storage of user data are detailed in our Privacy Policy, available at https://orgmatix.com/pricing/. By using our Service, you consent to the data practices described in the Privacy Policy.

6. Acceptable Use Policy

You agree to use the Service in a lawful and responsible manner and not to:

Engage in any illegal activities or use the Service for any unlawful purpose.
Upload, transmit, or distribute any malicious software, viruses, or other harmful code.
Send unsolicited communications or engage in spamming.
Infringe upon the intellectual property rights of others.
Engage in any activity that disrupts, interferes with, or harms the operation of the Service or other users’ access.
Attempt to gain unauthorized access to any part of the Service or related systems or networks.
We reserve the right to investigate and take appropriate action against any user who violates this Acceptable Use Policy, including but not limited to suspending or terminating their account.  

7. Intellectual Property Rights

Our Intellectual Property: OrgMatix by Venue Diary Inc. owns all intellectual property rights in and to the OrgMatix platform, including the software, design, trademarks (including “OrgMatix”), and content created by us (excluding content uploaded by users). You are granted a non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and your subscription plan.  
Your Content: You retain ownership of the data and content you upload or create using our Service (“Your Content”). By using our Service, you grant us a non-exclusive, worldwide, royalty-free license to use, process, display, and transmit Your Content solely for the purpose of providing the Service to you and as necessary for related functionalities such as report generation and suggestions. You represent and warrant that you have all necessary rights to Your Content and that it does not violate any third-party rights.  

8. Payment Processing and Refunds

Payment for our subscription plans is processed through secure third-party payment gateways such as RazorPay, PayU, or other RBI-regulated payment gateway partners or Banks. You agree to pay the fees for your chosen subscription plan as set forth on our pricing page. All fees are exclusive of applicable taxes. We operate on a prepaid access model, and as such, we do not offer refunds. Your access to the Service will continue until the end of your prepaid subscription period.

9. Termination

Termination by You: You may terminate your subscription at any time according to the cancellation terms of your chosen plan.
Termination by Us: We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, including but not limited to violations of these Terms, non-payment of fees, or prolonged inactivity exceeding 60 days.  
Effect of Termination: Upon termination of your account, your access to the Service will cease. We may retain Your Content for a period of 30 days or as outlined in our Privacy Policy for archival or legal compliance purposes, after which it may be securely deleted.

10. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ORGMATIX BY VENUE DIARY INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.  

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORGMATIX BY VENUE DIARY INC., ITS AFFILIATES, OFFICERS, PARTNERS/DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ORGMATIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO ORGMATIX FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.  

11. Support and Maintenance

We provide customer support via email mentioned at our website www.orgmatix.com. While we strive to provide timely and helpful support, we do not guarantee specific response times. Maintenance and updates to the Service will be performed as needed, and we will aim to minimize any disruption to users.

12. Modifications to Terms

We may update these Terms & Conditions from time to time. We will notify you of any material changes by posting the updated Terms & Conditions on our website or, if we deem necessary, by sending an email notification to your registered email address. The “Last Updated” date at the top of these Terms indicates when the latest revisions were made. Your continued use of the Service after such changes constitutes your acceptance of the new Terms. You are encouraged to review these Terms periodically by visiting www.orgmatix.com.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Bangalore, India.  

14. Fair Usage and Third-Party Integrations

We may implement fair usage policies for certain features of the Service to ensure equitable access for all users. Details of such policies will be made available within the Service or on our website. If our Service integrates with third-party services, your use of those services may be subject to their respective terms and privacy policies. We are not responsible for the functionality or availability of any third-party services.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OrgMatix regarding your use of the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and OrgMatix.
